1. Agreement to terms

These Terms of Service (“Terms”) govern your access to and use of DealFlow AI’s website, applications, and related services (the “Services”). By creating an account, accessing, or using the Services, you agree to these Terms.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

2. The Services

DealFlow AI provides tools for lead intelligence, analysis, comparison, and outreach workflows. Features may change over time. We may suspend or discontinue parts of the Services with reasonable notice where practicable.

3. Accounts and security

You must provide accurate registration information and keep credentials confidential. You are responsible for activity under your account. Notify us promptly of unauthorized use.

4. Acceptable use

You agree not to:

• Use the Services in violation of law or third-party rights;
• Send spam, unsolicited bulk messaging, or misleading communications;
• Harass, threaten, or impersonate others;
• Attempt to gain unauthorized access to systems, data, or accounts;
• Reverse engineer, scrape, or overload the Services except as permitted by law;
• Use the Services to build a competing product by systematic extraction of our data or features;
• Upload malware or content you do not have rights to use.

You are responsible for ensuring your use of outreach and data enrichment complies with anti-spam laws, marketing rules, and industry regulations applicable to you (including consent and opt-out requirements).

5. Your content

You retain ownership of data you submit (“Customer Data”). You grant DealFlow AI a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide and improve the Services and as described in our Privacy Policy.

6. AI outputs

AI-generated analysis, scores, drafts, or suggestions may be inaccurate or incomplete. You must review outputs before relying on them for business or legal decisions. We do not guarantee specific results from AI features.

7. Fees and payment

Paid plans are billed according to the pricing presented at purchase or in your order. Taxes may apply. Unless stated otherwise, subscriptions renew automatically until cancelled. Refunds are handled according to the policy stated at checkout or applicable law.

8. Intellectual property

The Services, including software, branding, and documentation, are owned by DealFlow AI or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEALFLOW AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DEALFLOW AI AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES IN ANY TWELVE-MONTH PERIOD IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THAT PERIOD OR (B) ONE HUNDRED U.S. DOLLARS (USD $100), EXCEPT WHERE PROHIBITED BY LAW.

11. Indemnity

You will defend and indemnify DealFlow AI and its affiliates, officers, and employees against third-party claims, damages, and costs (including reasonable attorneys’ fees) arising from your Customer Data, your use of the Services, or your violation of these Terms or law.

12. Termination

You may stop using the Services at any time. We may suspend or terminate access for breach of these Terms or risk to the Services. Provisions that by nature should survive (including ownership, disclaimers, limitation of liability, indemnity, and governing law) will survive termination.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, unless mandatory consumer protections in your jurisdiction require otherwise. Courts in Delaware or another forum we specify in writing may have exclusive jurisdiction, subject to applicable law.

14. Changes

We may modify these Terms. We will post the updated Terms and revise the “Last updated” date. Continued use after changes become effective constitutes acceptance. For material changes, we may provide additional notice.
